The ‘TurboTab’ or ‘Service’ includes the Chrome extension available at www.digitalfuture.co.il and any other Internet sites on which these Terms of Use are posted. The Service is operated, managed, and provided by Digital Future Ltd. d.b.a. ‘Digital Future’. Digital Future and any entities affiliated with or under common control with Digital Future are collectively referred to herein as ‘Digital Future,’ ‘our,’ ‘us,’ or ‘we.’

Please read these Terms of Use (the ‘Terms’) carefully before using TurboTab: Instant Search by Digital Future.

1. Services 

1.1 TurboTab: Instant Search by Digital Future provides you with information, various tools, features, and functionality, allowing you to access a range of applications, including mobile and/or web applications, as well as other solutions, products, services, Content, and forums for interaction with other users via specific programs and blogs (the ‘Services’). ‘Content’ refers to data, information, graphics, links, web pages, signs, images, software, code, files, text, photos, audio or video, sounds, visual works, musical works, works of authorship, and components.

1.2 Your use of certain Services and Content may be subject to additional terms, legal notices, agreements, or terms of use (collectively, ‘Additional Terms’). These Additional Terms may be posted on the Sites or in applicable sections. Therefore, certain Services may not be accessible until you agree to these Additional Terms. These Terms and, where applicable, the Additional Terms, create a legally binding agreement between you and us regarding your access and use of TurboTab: Instant Search by Digital Future. In case of any conflict or inconsistency between these Terms and any Additional Terms, the Additional Terms will prevail. The Services are provided for your convenience, and no technical support or other assistance is guaranteed.

2. Changes and Notices 

We reserve the right to amend these Terms and modify, change, or discontinue any part or all of TurboTab: Instant Search by Digital Future, at any time without prior notice. Please check these Terms periodically for changes. When we make significant modifications to these Terms, we will post the changes on the Site and update the ‘Last Updated Date’ at the bottom of this page. The revised Terms will be effective when posted. You can access the updated Terms by clicking on the terms of use link at the bottom of each web page of the Site. By continuing to use the Service after we have posted changes to the Terms, you agree to be bound by the modified Terms. If you do not accept the modified Terms, your only option is to stop using TurboTab: Instant Search by Digital Future.

3. Service Access and Use 

3.1 We grant you permission to use TurboTab: Instant Search by Digital Future, provided that you: (i) fully comply with these Terms; (ii) do not copy, distribute, or modify any part of the Service without our prior written authorization; (iii) do not send unsolicited or unauthorized advertisements, spam, chain letters, etc.; and (iv) do not disrupt servers or networks connected to the Service.

3.2 You agree not to: (i) access or use the Service and Content in a manner that could harm, disable, overload, or impair any of our accounts, computer systems, or networks; and (ii) attempt to gain unauthorized access to any parts of the Service, Content, computer systems, or networks. You also agree not to interfere with the proper functioning of the Service or our accounts, computer systems, or networks.

3.3 Access to password-protected or secure areas of the Service is restricted to authorized users only.

3.4 You agree not to use any automated system, including ‘robots,’ ‘crawlers,’ ‘spiders,’ and ‘offline readers,’ to access the Service in a manner that generates more request messages to our servers in a given time frame than a human can reasonably produce using a standard online web browser. Public search engines are granted permission to use spiders to copy materials for the purpose of creating publicly available searchable indices of the materials, but not to cache or archive such materials.

3.5 You agree not to collect or harvest personally identifiable information from the Service or use the communication systems provided by the Service for commercial solicitation purposes. You also agree not to solicit users of the Service for commercial purposes.

3.6 Some of our Services may permit commercial use as specifically indicated. All commercial use must comply with these Terms and the specific terms relevant to those Services. Unauthorized use of the Service, Content, or any portion thereof, including unauthorized framing or linking, is prohibited.

4. Accounts and Passwords

To access the features of TurboTab: Instant Search by Digital Future, you will only need to download the Chrome extension. No new account or password will be needed other than the Google profile logged in the device in use.

5. Ownership and Licenses – TurboTab: Instant Search by Digital Future 

5.1 TurboTab: Instant Search by Digital Future retains all rights and interests in the Service, Content, and any derivatives thereof, including any Intellectual Property Rights contained in or made available in connection with it (collectively, the ‘TurboTab: Instant Search by Digital Future IP’). ‘Intellectual Property Rights’ include patents, design rights, copyrights, trademarks, trade names, trade dress, logos, trade secrets, and any other intangible property rights.

5.2 You shall not challenge our rights or interests in the TurboTab: Instant Search by Digital Future IP. You agree not to seek any Intellectual Property Rights in or to the TurboTab: Instant Search by Digital Future IP. All rights not expressly granted are reserved by TurboTab: Instant Search by Digital Future. You agree to assign any modifications, derivative works, or substitutes of the Service and/or Content created by you in violation of these limitations to TurboTab: Instant Search by Digital Future.

5.3 You agree not to remove, obscure, or alter any notices of Intellectual Property Rights or disclaimers appearing in or on the Service or Content.

5.4 Use of TurboTab: Instant Search by Digital Future copyrights, trademarks, service marks, trade names, trade dress, logos, or other brand features (‘Brand Features’) are owned by Digital Future. Any use of Brand Features shall insure to the benefit of Digital Future and is subject to the Digital Future Brand Features’ Guidelines. 5.5 To the extent that we solicit User Submissions through features or activities on or through the Service, we grant you a non-exclusive license solely for creating User Submissions, subject to the terms herein.

6. Ownership, Licenses, and Rules – User Submissions

6.1 User Submissions Some parts of TurboTab: Instant Search by Digital Future (such as message boards, blogs, forums, sweepstakes, or comments) may allow you and other visitors to submit, post, display, transmit, or exchange information, ideas, text, opinions, photos, images, videos, music, and other materials (referred to as ‘User Submissions’).

6.2 User Submission License When you post, submit, or upload User Submissions on TurboTab: Instant Search by Digital Future, you confirm that they comply with these Terms. You acknowledge that you are granting TurboTab: Instant Search by Digital Future a perpetual, irrevocable, worldwide, royalty-free, sublicensable, and transferable right and license to use, reproduce, modify, distribute, and display your User Submissions for various purposes, including entertainment, advertising, and promotional purposes. You represent and warrant that you have the right and authority to grant this license, and that your User Submissions do not infringe upon any third-party rights.

6.3 Your Rights You retain all rights to your User Submissions, and you are free to sell or license them to others.

6.4 Ownership and Authorization You warrant that your User Submission is your original work or that you have the necessary rights to grant the User Submission License to TurboTab: Instant Search by Digital Future. If your User Submission includes images of individuals other than yourself, you must have their express consent, especially if they are under 18 years of age.

6.5 Use of User Submissions TurboTab: Instant Search by Digital Future may choose to post or remove your User Submission at its discretion, without notice. You acknowledge that you submit your User Submission voluntarily and not confidentially.

6.6 Responsibility You are solely responsible for your User Submissions and any consequences of posting them on TurboTab: Instant Search by Digital Future. These sections are public, and you should not include personal information, as they are not private or secure.

6.7 Content Guidelines Your User Submission must not violate any laws, be deceptive, promote unsafe activities, be unlawful, defamatory, or infringe on the rights of others. You must also avoid uploading harmful components or interfering with the Service’s operation.

6.8 Exposure to User Submissions You acknowledge that while using the Service, you may encounter User Submissions that are inaccurate or offensive. You waive any legal or equitable rights related to such User Submissions and agree to indemnify TurboTab: Instant Search by Digital Future.

6.9 Copyright Infringement TurboTab: Instant Search by Digital Future does not allow copyright infringement or violations of Intellectual Property Rights. In case of such violations, content and User Submissions will be removed following our Copyright Policy.

6.10 Monitoring and Cooperation TurboTab: Instant Search by Digital Future may choose to review User Submissions, monitor the Service, and cooperate with law enforcement in case of violations.

6.11 Notification When submitting a User Submission, you may be required to provide your email address and may receive email notifications about new posts in related areas.

6.12 Interaction with Other Users You are responsible for your interactions with other users. TurboTab: Instant Search by Digital Future reserves the right to monitor disputes between users.

7. Privacy

7.1 Our privacy policy explains how we collect and use data generated by your use of TurboTab: Instant Search by Digital Future. By using the Service, you consent to data usage in accordance with the relevant privacy policy.

7.2 Third-party service providers may collect information about you through cookies. These providers must comply with privacy laws and practices.

7.3 We may access, preserve, and disclose your information and User Submissions to comply with legal requirements, enforce these Terms, address security issues, respond to claims, or protect our rights and property. In business transitions, your information may be transferred to new ownership.

8. Links

TurboTab: Instant Search by Digital Future may contain links to third-party websites. These are provided for convenience and are not under our control. We are not responsible for their content, and you must make your own judgments about their use. We are not liable for any damages or losses from using third-party websites.

9. Disclaimer

The TurboTab: Instant Search by Digital Future service, its features, and content are provided on an ‘as is’ and ‘as available’ basis. We cannot guarantee that the service or content will be error-free, uninterrupted, or that any issues will be corrected. Information on the service is subject to change without prior notice. To the maximum extent permitted by applicable law, TurboTab: Instant Search by Digital Future disclaims all warranties, whether express or implied, including but not limited to accuracy, non-infringement, merchantability, fitness for a particular purpose, completeness, availability, security, or compatibility. We also disclaim liability for the actions, conduct, or omissions of any third parties related to your use of the service. You are entirely responsible for your use of the service and any associated content. If you are dissatisfied with the service or content, your sole remedy is to stop using them.

10. Limitation of Liability

Except where prohibited by law, TurboTab: Instant Search by Digital Future will not be liable for any direct, indirect, special, consequential, exemplary, incidental, or punitive damages, including but not limited to damages for lost profits, revenue, goodwill, use, data, or other intangible losses, even if we’ve been advised of the possibility of such damages. This includes damages arising from the use or inability to use the service or content, the cost of obtaining substitute goods or services, or any other matter related to the service or content. If, despite other provisions in these terms, TurboTab: Instant Search by Digital Future is found liable for any damage or loss connected to your use of the service or content, our liability will not exceed $500. These limitations, exclusions, and disclaimers apply to the maximum extent permitted by applicable law. Some jurisdictions do not allow the limitation or exclusion of liability for certain damages, so these limitations may not apply to you.

11. Indemnification

You agree to defend, indemnify, and hold harmless TurboTab: Instant Search by Digital Future, its officers, directors, employees, agents, licensors, licensees, and other authorized users, as well as resellers, distributors, service providers, and suppliers, from and against any claims, damages, obligations, losses, liabilities, costs, and expenses (including attorney’s fees) related to your use of the service, violation of these terms or any third-party rights, or any claims that your submissions caused damage to a third party. You agree to cooperate with us in the defense of any claim, and we reserve the right to assume exclusive defense and control of any matter subject to indemnification by you.

12. Export Restrictions

You agree to comply with all U.S. export laws and regulations to ensure that the service is not exported or used for purposes prohibited by these laws. You will not export the service to any U.S. embargoed country. By accessing, using, or downloading the service, you confirm that you are not located in such a country and are not on any U.S. Government list of prohibited or restricted parties.

13. Termination

13.1 We may limit, suspend, or terminate your access to TurboTab: Instant Search by Digital Future immediately and with or without cause for failing to comply with these terms. We are not liable to you or any third party for such limitations, suspensions, or terminations.

13.2 If we discontinue, terminate, or suspend your account, you agree not to re-register or attempt to access the service with a different user name.

13.3 Violating these terms is an unfair business practice and may cause irreparable harm to TurboTab: Instant Search by Digital Future. In such cases, you consent to us obtaining injunctive or equitable relief. We may also recover reasonable attorney’s fees and costs in case of any legal action against you for violating these terms.

13.4 We are not liable to you or any third party for terminating your access to the service due to any terms violation.

14. General

Any legal action or dispute arising from these terms will be governed by the laws of the State of New York, or the country of Israel without regard to conflict of laws principles. You agree to the personal and exclusive jurisdiction of federal and state courts located in New York, New York, or Israel. These terms, along with the Privacy Policy and any additional terms, constitute the entire agreement between you and us regarding the service and content. If any term is deemed invalid, it won’t affect the validity of the remaining terms. No waiver of any term shall be considered a waiver of any other term, and a party’s failure to assert a right or provision under these terms doesn’t constitute a waiver of such right or provision. In these terms, the word ‘including’ is used illustratively, as if followed by ‘but not limited to.’ You may not assign your rights under these terms without TurboTab: Instant Search by Digital Future’s consent, but we may assign these terms at our discretion. These terms will continue to apply even after your access to the service is terminated.

15. Survival

Confidentiality and indemnification obligations, along with sections 6, 9, 10, 11, 14, and this Section 15, will survive the termination of your access and use of the service.
